These Terms & Conditions (“Agreement”) govern the use of services provided by Carrion Mesa Ventures (“Company,” “we,” “us,” or “our”). By engaging our services or using our website, you agree to these terms.
1. Services
Carrion Mesa Ventures provides search engine optimization (SEO), paid search advertising (SEM), local search marketing, and related digital marketing consulting services.
Specific services, scope, deliverables, and timelines will be outlined in a separate written agreement or proposal between the Company and the client.
2. Payment Terms
Fees for services may be structured as:
- One-time project fees
- Monthly recurring retainers
- Consulting or advisory fees
Payment terms will be defined in the applicable service agreement or invoice.
Payments are due as stated on the invoice. Late payments may result in suspension of services.
Payments are processed securely through Stripe or other authorized payment providers.
3. No Guarantee of Results
While we strive to provide high-quality services, we do not guarantee specific search rankings, advertising performance results, or revenue outcomes.
Marketing performance is influenced by multiple external factors beyond our control.
4. Client Responsibilities
Clients agree to:
- Provide accurate business information
- Grant necessary access to platforms (Google Ads, Analytics, website backend, etc.)
- Respond in a timely manner to requests for information or approvals
Delays in client communication may impact project timelines.
5. Intellectual Property
Unless otherwise agreed in writing:
- The client retains ownership of their business assets and accounts.
- Carrion Mesa Ventures retains ownership of proprietary processes, strategies, and methodologies.
Upon full payment, deliverables created specifically for the client may be used by the client for business purposes.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive business information shared during the course of services.
7. Refund Policy
Due to the nature of digital marketing services, payments are non-refundable once work has commenced.
For recurring services, cancellation terms will be defined in the service agreement. Typically, cancellation requires written notice prior to the next billing cycle.
8. Limitation of Liability
Carrion Mesa Ventures shall not be liable for:
- Indirect or consequential damages
- Loss of profits
- Business interruption
Total liability shall not exceed the total fees paid for services within the preceding three months.
9. Termination
Either party may terminate services in accordance with the terms outlined in the applicable service agreement.
Upon termination, outstanding balances remain due.
10. Governing Law
These Terms shall be governed by the laws of the State of Georgia, without regard to conflict of law principles.
